Public Offer

Terms for using Empatra Studio

Offer to enter into a mixed agreement for services and a limited non-exclusive right to use Empatra Studio software. Revision 1.4 dated 13 October 2026. Applies after acceptance as described in sections 4 and 16. This translation is provided for convenience; the Russian text governs, without limiting mandatory user rights.

Individual entrepreneur Sedykh Roman Viktorovich, INN 120305100943, OGRNIP 324385000035894. Address: 5A Pshenichnaya Street, Khomutovo, Irkutsk Region, Russia. Email: admin@neuroapi.host.

1. Definitions and general provisions

The Service means Empatra Studio, including its website, official desktop and mobile applications, CLI and functions available to the User. The mobile application may control an AI agent on a connected computer; local execution takes place on the selected host.

The User is a legally capable individual, individual entrepreneur or legal entity accepting this offer. An individual ordering the Service for personal needs is a consumer. The Account provides access to the Service. A Plan specifies published functions, limits, period and price. User Content means messages, files, instructions and other materials submitted through the Service.

Public Materials mean artifacts and available snapshots of conversations with an AI agent deliberately published or shared by link using the Service. A private conversation does not become public merely because it was created in the Service. Conversation-publication terms apply only when that function is actually available.

Individual users confirm that they are at least 18 years old and have the necessary legal capacity. Representatives confirm authority to accept on behalf of their organisation or individual entrepreneur. A provision about a particular function applies only when that function is actually offered; availability may depend on a module, plan or interface.

2. Subject of the agreement

The Offeror undertakes to provide services and a limited non-exclusive right to use Empatra Studio software, within the rights lawfully available to the Offeror. The mixed agreement may include SaaS access, support, consulting, request processing and other services expressly described on the website or in a plan.

The selected plan, order or invoice determines the specific scope, period, limits and price. Free functions may be changed or discontinued with notice in the interface.

The main server components and database are hosted in the Russian Federation on immers.cloud infrastructure. An infrastructure contractor may be changed while maintaining mandatory legal requirements and updating the Personal Data Processing Policy.

3. Software use rights

For the agreement and paid period, where applicable, the User receives a non-exclusive, non-transferable right to access functions online, install and run officially provided desktop or mobile applications on devices lawfully controlled by the User, and use the interface and results for lawful purposes.

There is no territorial restriction unless specified for a particular function. Exclusive rights, source code, resale, distribution, account transfer, circumvention, modification and reverse engineering rights are not granted, except where expressly permitted by law.

The Offeror grants only rights received from the rightsholder under a written agreement. This offer does not replace that agreement or grant rights beyond it. Software registration and rightsholder information is provided under Company Details; no registration or exclusive rights beyond documented scope are asserted.

4. Acceptance

Acceptance is an unambiguous action: selecting an initially unchecked registration checkbox, confirming the current edition in the interface, or paying for an offer that clearly identifies the applicable terms before payment. The User may read, save and print the edition before acceptance.

New publication rules apply after explicit confirmation of the current edition before opening public access. Acceptance of an older edition is not automatic acceptance of a newer edition. Changes impose no retroactive liability and do not cancel obligations for an already paid period.

Acceptance creates an electronic agreement. The Personal Data Processing Policy is a separate information document; reading it does not replace a separate consent where required by law. Cloud AI data sharing and recurring payments are separately confirmed where applicable.

The User supplies accurate registration information, verifies email and safeguards account access. Suspected compromise should be reported promptly. Attribution of disputed actions is assessed using circumstances and evidence, rather than authentication alone.

5. Plans, prices and payments

Prices and paid terms are stated in Russian rubles unless expressly indicated otherwise. Before payment, the interface shows the total price, period and plan scope. The price includes applicable taxes unless otherwise expressly stated. Optional paid features require a separate choice and are not preselected.

Payments may use YooKassa or another method expressly identified at checkout. YooKassa is operated by NCO YooMoney LLC. Full card details are entered with the payment provider and are not disclosed to the Offeror. The Offeror receives payment-method identifiers and transaction information required for performance, accounting, receipts and support.

An electronic fiscal receipt is sent to the supplied email or phone where and as required by law. The User should check the contact details before payment and report errors.

5.1. Subscriptions and recurring payments

Where a recurring subscription is expressly offered, the User selects the plan and period, reads its terms and separately confirms recurring payments. Before confirmation, the interface identifies the plan, price and currency, period, expected next charge and cancellation method.

The User separately authorises YooKassa to save the selected payment method and use it for that subscription. Depending on availability, checkout may offer a bank card, SberPay, T-Pay, SBP or YooMoney wallet. The final methods depend on provider settings, the bank and checkout.

The payment method is saved by YooKassa with the initial payment. The Offeror does not receive or store the full card number, expiry or CVC. Subsequent charges within the confirmed terms may not require separate confirmation.

Before a charge, the Offeror provides notice through available Service channels, including the account or supplied email, identifying the upcoming payment and amount. Material changes to price, period or scope require advance notice and an opportunity to cancel renewal or confirm new terms.

Renewal can be disabled in the available account interface or by writing to admin@neuroapi.host with account or subscription information. Once cancellation is recorded, the Offeror stops new automatic charges. The already paid period remains, subject to lawful restrictions, and cancellation alone is not a refund request.

A failed charge does not renew a subscription. Access continues only until the already paid period ends; a new successful payment is required for renewal. After renewal is disabled, the saved method is not used for new charges unless the User independently pays again or reconnects recurring payments.

6. User rights and obligations

The User supplies accurate registration and payment information, safeguards credentials and account access, and does not submit material without a lawful basis. Sensitive personal data or state, banking, commercial, professional or other legally protected secrets must not be submitted without proper authority and necessity.

AI results must be independently checked before use in high-risk situations. The Service may be used only within the law, plan terms and rights expressly granted.

7. User content and third-party rights

The User retains rights in their content and grants the Offeror a limited non-exclusive licence for technical processing, storage, transmission, display, conversion and other actions necessary to operate the Service and perform the agreement.

The User must have the rights required to upload, use and transmit materials, respecting copyright, trademarks, trade secrets, personal data and other protected interests. For another person's personal data, the User must have a lawful basis for processing, provide required information and avoid excessive data. Data without a lawful basis must be deleted or anonymised before sending.

Before publication, the User checks the materials, rights, absence of secrets and required consents, including consent to disseminate personal data where required. Sharing by link enables others to view, save and forward material. Revoking a link does not erase copies already made by third parties.

The licence for Public Materials is limited to technical hosting, display, dissemination as chosen by the User and complaint review. It does not transfer exclusive rights or authorise advertising use of private material.

Reviewing Public Materials does not authorise the Offeror to demand provider or controller keys or extract closed local threads from a computer. Cloud processing and connected-host operation follow their respective Service modes and published AI data-sharing disclosure. Mandatory safeguards, consumer rights and liability which cannot lawfully be excluded remain intact.

For materials the User explicitly submits for publication, the licence also covers necessary eligibility screening of that specific version before posting and decision review. It does not authorise screening other private conversations, unpublished materials, local-agent data or access keys for this purpose. Sending the selected material to external AI for screening requires prior explicit permission identifying the actual recipient and purpose; accepting this offer does not replace that permission. A single permission for cloud AI features may also cover publication screening if that purpose, transmitted data and recipient are explicitly disclosed before confirmation. Additional confirmation of the same purpose and recipient is not required for every publication.

8. Acceptable use and prohibited conduct

The User acts in good faith and complies with Russian law, other applicable law, third-party rights and restrictions relevant to the selected function. The following materials or uses are prohibited, including generation for an unlawful purpose and publication:

Information prohibited by law; child sexual exploitation or child sexual abuse material; unlawful pornography; facilitating terrorism, extremism, unlawful violence or harm. Threats, stalking, harassment, unlawful discrimination, unlawful personal-data disclosure, privacy violations and infringement of copyright or other protected rights are prohibited.

Fraud, phishing, spam, malware, unauthorised access, credential theft, disruption of systems, unlawful data operations and circumvention of lawful access restrictions are prohibited. Protected or confidential information must not be transmitted without authority and a lawful basis.

Deliberately bypassing safety mechanisms, plan limits or usage accounting; obtaining unpaid resources by deception; exploiting vulnerabilities outside agreed testing; interfering with infrastructure, restrictions or moderation; and creating accounts to evade justified restrictions are prohibited. Knowingly false reports, fabricated evidence, impersonation and use of refund or support procedures with knowingly false information or fabricated evidence are also prohibited. Making a request, repeating a request or disagreeing with a decision does not itself constitute abuse.

Google Play, App Store and RuStore distribution rules apply only to the relevant channel and application functions. OpenAI, Google, Anthropic and Alibaba Cloud terms and acceptable-use policies apply only to the provider product, model or service actually used, to the extent relevant to that use. This does not imply all providers are connected.

Official policy links appear in the appendix. The applicable edition must be effective for the selected function at the time of use. Future or unknown changes impose no liability for past conduct. Material changes are communicated before application; new consent is requested where needed. Third-party rules do not override mandatory Russian law or consumer rights.

When independently connecting an external service, API, model or source, the User reviews the recipient, geography and transfer terms. A direct connection uses the chosen provider's credentials and terms; the Offeror does not sell that provider's subscription. Before sending protected information, the User evaluates authority, contractual confidentiality assurances and suitability of the mode.

9. Artificial intelligence and results

AI functions may produce inaccurate, incomplete, ambiguous, non-unique or irrelevant results. The User must independently check results before legally significant, financial, medical, employment, technically critical or other high-risk use.

AI results do not replace professional human review or guarantee compliance with sector standards without review. The User decides whether to use a result. This does not exempt the Offeror from liability for its own culpable breaches or limit mandatory consumer rights.

10. Availability, changes and security

Availability depends on infrastructure, maintenance, load, external dependencies and other objective factors. Functions, interfaces, plans for new periods and technical limits may change only as permitted by the agreement and law.

Price changes apply to the next billing period and do not increase an already paid period's price without separate consent. Material changes are communicated through the account or email before application, except urgent changes required by law or to address a security threat.

The User safeguards credentials and promptly reports suspected unauthorised access. The Offeror applies reasonable organisational and technical safeguards, without guaranteeing that security incidents can never occur.

11. Withdrawal, termination and refunds

A consumer may withdraw from the agreement at any time under Article 32 of the Russian Consumer Protection Law and applicable Civil Code provisions. Requests may be made through an available interface or admin@neuroapi.host, including while account access is restricted.

Provide available account and payment identifiers, the request and a reply contact. Passwords, verification codes and full card details are not required. Proportionate verification of account or payment ownership may be requested where needed for safe processing.

Blocking, takedown and access restrictions are protective measures, not fines. They do not automatically forfeit unused advance payments or remove a lawful refund right. Settlement depends on the grounds for termination, plan, actual performance and mandatory law.

Payment for lawful performance actually supplied may be retained only to the extent allowed by law. Actual expenses may be taken into account only where deduction is lawful, relates to the specific agreement and is documented. Double counting, contractual penalties disguised as expenses and automatic retention of the entire advance for a violation are not permitted.

The Offeror provides an understandable calculation and basis. A subscription label, unused quota or blocking alone does not replace that assessment. Unused advances are not confiscated as punishment. Mandatory remedies for defects, delay or other Offeror breaches remain available.

Claims for proven damage from deliberate abuse are handled separately through lawful procedures. Suspected damage or a unilateral violation finding is not by itself a basis to retain money that must legally be refunded. Set-off is possible only if all legal requirements are satisfied.

Amounts due are returned within the statutory period or, if no specific period is prescribed, without undue delay within a reasonable time, using the original payment method unless another method is agreed and permitted by law and payment rules. Store purchases follow relevant store refund procedures without removing the Offeror's mandatory obligations.

Disabling renewal stops future automatic charges and is not itself a refund request. Following a confirmed account ban, the Offeror stops new automatic charges for its own subscriptions; a store subscription may require action in that store. The paid period and any refund claim are assessed separately under this section.

12. Personal data

The personal data operator is individual entrepreneur Sedykh Roman Viktorovich. Purposes, categories, grounds, recipients, retention and data-subject rights are described in the Personal Data Processing Policy.

Processing necessary to enter into and perform the agreement relies on that contractual basis. Consent for any independent purpose is collected separately from the offer where required.

Publication screening uses only necessary data from the version explicitly submitted for publication and screening-result records. Recipients, locations and applicable retention periods for screening materials and decision records are disclosed in the data-processing policy and separate AI data-sharing disclosure before the feature is enabled. Materials are not sent to an unspecified set of AI providers. The actual provider’s training, troubleshooting and retention terms are verified separately: the Offeror does not promise zero retention or no training for every route.

13. Liability and events beyond control

Each party is liable for culpable non-performance within the law. The Offeror is not responsible for failures of a User's device or network, unauthorised account use before notice of compromise, or an independently connected external provider, except where liability cannot lawfully be excluded.

Extraordinary and unavoidable events may excuse non-performance for their duration where the affected party promptly informs the other and reasonably mitigates consequences. These provisions do not restrict liability or rights which cannot be limited by agreement, including mandatory consumer and personal-data protection.

14. Claims and disputes

Requests and claims may be sent to admin@neuroapi.host or 5A Pshenichnaya Street, Khomutovo, Irkutsk Region, Russia. Include a name or organisation, reply contact, available account or payment identifier, relevant facts and requested remedy.

Claims are reviewed within statutory deadlines or a reasonable time where none is prescribed. Nothing in this offer waives consumer rights, mandatory jurisdiction or other protection where prohibited by law.

15. Term, publication screening and restrictions

The agreement continues from acceptance until lawful termination and completion of surviving obligations. A subscription renews only after successful payment on agreed terms. Cancellation or a failed payment does not remove lawful rights concerning an already paid period.

In Service versions with pre-publication screening enabled, first publication and each public update are screened before the new version becomes accessible. Screening applies to the specific title, format and content; approval of one version does not automatically apply to another. Private saving alone is not a publication request or permission to send material to external AI.

Automated screening may use AI only after explicit User permission covering transmission of the selected material to the actual recipient for publication screening. Recipients, specific purposes, transmitted data and applicable processing terms are disclosed before permission. One action may grant this permission for the listed cloud AI features, including screening of explicitly published materials, separately from accepting the offer. Earlier permission that did not disclose publication screening or its recipient is not automatically expanded. Valid permission does not require repeated consent to the same processing. Declining does not remove basic account access or private materials; a new public version may remain unavailable. An open link can be closed without new consent. Withdrawal stops future transmissions within the withdrawn scope but does not reverse completed processing.

AI can make mistakes and does not definitively determine legality, User intent or abuse. An uncertain result, unsupported active or visual elements, technical limits, provider failure or exhausted screening budget do not authorise publication: new publication remains unavailable and may require manual review. While an update to shared material is screened, its previously approved public version may remain accessible; a new private save does not automatically become visible to visitors.

The owner may edit the material or request reconsideration at admin@neuroapi.host with its identifier. An authorised staff member reviews the version explicitly submitted for publication. Manual approval permits a User publication retry; it does not open the link on the User’s behalf or override link closure, deletion, a publication restriction or an account ban. Screening outcomes and next available actions are communicated through the interface or a User contact.

Pre-publication screening does not replace post-publication moderation: administrators review complaints and may examine published materials following detected signs of a violation. Where justified, the Offeror may take material down, close a public link, restrict further distribution or restrict publication. Technical takedown does not mean irreversible deletion of a private copy unless separately stated or required by law.

Necessary urgent protective measures may be applied for security threats, ongoing illegality or a risk of substantial harm. Otherwise, where possible, the User receives a warning and a reasonable opportunity to remedy the issue. Measures must be proportionate to severity, recurrence, consequences and reliable findings.

Confirmed substantial, repeated or deliberate violations, including intentional circumvention or obtaining resources by deception, may lead to feature restrictions, temporary blocking or termination of account access within legal limits. A complaint, a model refusal or a disputed output alone does not prove intent or abuse.

The Offeror communicates the measure, grounds and review route through an available interface or User contact, except information whose disclosure is unlawful or poses a specific threat to security or third-party rights. Decisions may be challenged and explanations submitted to admin@neuroapi.host with the material link or identifier and account. Do not send passwords or secret keys.

A confirmed error leads to reconsideration. Restored access does not automatically restore old sessions, device pairings or public links; reconnecting and republishing use the available interface with security safeguards. Support review does not limit access to courts or other legal remedies.

Restrictions do not prevent refund requests, stopping recurring payments, account-deletion requests or other mandatory rights. Financial consequences follow section 11 and law, rather than a moderator's content decision.

16. Final provisions

This edition applies to new agreements and User-confirmed amendments from acceptance, no earlier than 13 October 2026. Publication alone does not retroactively amend an existing agreement or reduce already paid rights. Urgent measures to comply with law or address security threats rely on the relevant legal basis.

Archived editions retain permanent addresses. Changes requiring consent are confirmed by a separate unambiguous action; reading an information page alone is not acceptance.

Electronic consent, registration, payment and correspondence have legal effect unless otherwise prescribed. Where a term conflicts with mandatory law, that law applies. Mandatory consumer rights, jurisdiction and remedies are preserved.

The Russian text constitutes the offer. English is provided for convenience; Russian governs any discrepancy without limiting mandatory User rights. Questions and corrections may be sent to admin@neuroapi.host.
